The Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.
10. Termination/Access Restriction
We reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Texas and you hereby consent to the exclusive jurisdiction and venue of courts in Texas in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Notary Source as a result of this agreement or use of the Site. Notary Source’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Notary Source’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Notary Source with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Notary Source with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Notary Source with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
12. Your Account
If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Notary Source is not responsible for third party access to your account that results from theft or misappropriation of your account. Notary Source and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.
13. Communication Services
The Website may include interactive features such as bulletin boards, chat areas, forums, communities, personal web pages, calendars, or other message or communication facilities (collectively, the “Communication Services”), designed to enable users to communicate with the public or with a group.
You agree to use the Communication Services only to post, send, and receive content that is appropriate, lawful, and relevant to the particular Communication Service. Without limiting the generality of the foregoing, you agree that when using the Communication Services, you shall not:

Notary Source LLC is under no obligation to monitor the Communication Services. However, we reserve the right, at our sole discretion, to review, monitor, edit, or remove content posted to any Communication Service, in whole or in part, at any time and for any reason, without prior notice. We also reserve the right to suspend or terminate your access to any or all Communication Services at any time without notice.
Notary Source LLC may disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of the Company, its users, or others.
You are advised to exercise caution when sharing personally identifiable information about yourself or others in any Communication Service. Notary Source LLC does not endorse, control, or assume responsibility for any content, messages, or information found in any Communication Service and disclaims all liability related to your participation therein. Any views expressed in Communication Services are solely those of the individual contributors and do not necessarily reflect the views of Notary Source LLC, its affiliates, or its employees.
Materials uploaded to a Communication Service may be subject to limitations on use, reproduction, or dissemination. You are solely responsible for complying with such limitations and for any consequences resulting from your failure to do so.
14. Materials Provided to the site or Posted on Any Notary Source Web Page
Notary Source does not claim ownership of the materials you provide to the site (including feedback and suggestions) or post, upload, input or submit to any Notary Source Site or our associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting Notary Source, our affiliated companies and necessary sub-licensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.
No compensation will be paid with respect to the use of your Submission, as provided herein. Notary Source is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in Notary Source’s sole discretion.
By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
15. International Users
The Service is controlled, operated, and administered by Notary Source LLC from its offices within the United States of America. Access to the Service from jurisdictions outside the United States is done at your own initiative and risk, and you are solely responsible for compliance with all local laws, regulations, and restrictions that may apply.
By accessing or using the Service, you expressly agree that you shall not use, export, or re-export any content, information, or materials provided by or through the Service in violation of any applicable laws or regulations, including, without limitation, United States export control laws and regulations. You further agree that you shall not access or use the Service from any jurisdiction or in any manner that is prohibited by applicable law, including, without limitation, sanctions regulations administered by the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC) or the U.S. Department of Commerce.
16. Arbitration
In the event that the Parties are unable to resolve any dispute, controversy, or claim arising out of or relating to these Terms and Conditions—including any question regarding their existence, validity, interpretation, performance, breach, or termination—whether sounding in contract, tort, statute, or otherwise at law or in equity, such dispute shall be resolved exclusively through final and binding arbitration in accordance with the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
Arbitration shall be conducted by a single neutral arbitrator under the rules of the American Arbitration Association (“AAA”) or another comparable arbitration organization as mutually agreed upon by the Parties. The arbitration shall take place at a location mutually agreed upon by the Parties, or, if no agreement is reached, at a location determined by the arbitrator in accordance with applicable AAA rules.
The arbitrator shall have exclusive authority to resolve all disputes, including, without limitation, any issues relating to the scope, enforceability, or interpretation of this arbitration provision. The arbitrator’s decision shall be final and binding on the Parties, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
The Parties further agree:
That this arbitration agreement survives the termination of these Terms and Conditions;
That all claims and disputes, including tort claims or claims based on statute, arising out of or in connection with these Terms and Conditions, shall be subject to arbitration;
That the Federal Arbitration Act governs the interpretation, enforcement, and proceedings under this arbitration provision, to the exclusion of any conflicting state law, including the Texas Arbitration Act.
17. Attorneys’ Fees and Costs
In the event that any legal, equitable, or arbitral proceeding is initiated concerning these Terms and Conditions, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, expert witness fees, costs, and expenses incurred in connection with such proceeding, in addition to any other relief to which it may be entitled.
18. Class Action Waiver
Any arbitration conducted pursuant to these Terms and Conditions shall be strictly on an individual basis. Class arbitrations and class, collective, or representative actions of any kind are expressly prohibited.
You and Notary Source LLC (“the Parties”) agree that any claims, disputes, or controversies arising out of or relating to these Terms and Conditions, the breach thereof, or the use of the Website, shall be resolved exclusively through binding individual arbitration, and not in any representative, collective, or class action capacity, including, without limitation, as a named plaintiff or class member in any purported class, collective, private attorney general, or representative proceeding.
To the fullest extent permitted by applicable law:
The arbitrator shall have no authority to consolidate the claims of multiple individuals, nor to preside over any form of a collective, class, or representative proceeding;
Each party may bring claims only in their individual capacity, and not as a plaintiff or class member in any putative class or representative proceeding;
Unless both you and Notary Source LLC expressly agree otherwise in writing, the arbitrator may not join or consolidate claims of more than one person, nor may the arbitrator otherwise preside over any form of a representative or class proceeding.
This Class Action Waiver is an essential part of the agreement to arbitrate and shall be severable in the event it is found unenforceable or unlawful. If this waiver is found to be unenforceable, then the entirety of the arbitration agreement shall be null and void, and the dispute must be brought in a court of competent jurisdiction in the State of Texas.
19. Changes to Terms
We may revise these Terms at any time. All changes are effective immediately upon posting. Your continued use of the Website following the posting of revised Terms means you accept and agree to the changes. We encourage you to periodically review the Terms to stay informed of our updates.
